Abstract: | La nueva Ley del Impuesto sobre Sociedades recupera la definición de entidades patrimoniales: aquellas en las que más de la mitad de su activo está compuesto por valores o por elementos no afectos a una actividad económica. Pero como novedad, para verificar la composición del activo se introduce una disposición por la que se establece que no computarán el dinero y los derechos de crédito procedentes de la transmisión de elementos patrimoniales afectos o de valores no computables. Esta disposición, inspirada en un precepto similar contenido en el régimen de las SOCIMI, está generando muchas dudas interpretativas sobre su alcance y significado. Aunque la DGT ha despejado algunos interrogantes en sus recientes consultas vinculantes V3440-15 y V1037-16, son muchas las sombras interpretativas que suscita dicho precepto. | The new Spanish Law on Corporate Income Tax reintroduces the definition of patrimonial companies: those entities in which more than half of the assets is composed of values or elements that are not subject to an economic activity. As a novelty, in order to verify the composition of the company’s assets, it has been introduced a new legal provision, according to which money and other credit rights coming from the transmission of patrimonial elements subject to an economic activity or from non-computable values will not be taken into account. This provision, inspired in a similar one contained in the Spanish REIT regime, raises doubts in relation to its scope and significance. Although the Spanish DGT has cleared up some of these doubts in the recent tax consultations V3440-15 and V1037-16, the fact is that this legal provision generates many interpretative shadows. |
